021. Parties and acceptance
These Terms of Service (the Terms) are entered into between Insider Magazin (we, us or our), and the person, business or organisation that accepts them (the Customer or you).
The Terms apply to the Insider Magazin analytics workspace, including its self-service edition EuroInsider, and to this website. They become binding:
- for EuroInsider, when the Customer completes a purchase of a EuroInsider product through Digistore24;
- for organisation contracts, when the Customer signs an order form that refers to them, or when it first uses the Service under such an order form, whichever happens first.
If you accept the Terms on behalf of an organisation, you confirm that you have authority to bind it.
Where an order form and these Terms conflict, the order form prevails for the matters it specifically addresses. Visitors who only browse the public website or use the public demo are bound only by the sections on intellectual property, acceptable use, disclaimers, limitation of liability and applicable law, to the extent these are relevant to browsing.
- Service
- The Insider Magazin analytics workspace, including EuroInsider at
/app, and, for organisation contracts, its onboarding and configuration (including any data adapter configured for the Customer) and the related support described in the order form. - EuroInsider
- The paid self-service edition of the workspace, sold online through Digistore24 for a fixed access period.
- Order form
- For organisation contracts, the written proposal or order document signed by both parties that states the scope, price, billing period, renewal and cancellation terms for the Customer's subscription.
- Customer Data
- Datasets and other information that the Customer makes available to the Service, including files imported into EuroInsider and data retrieved from the Customer's own API.
- Authorised User
- For EuroInsider, the person who uses a personal access link issued for the Customer's purchase. For organisation contracts, an employee or contractor of the Customer whom the Customer permits to use the Service.
032. Scope of the Service
Insider Magazin is descriptive statistics and visualisation software for exploring historical, time-stamped datasets. It describes distributions, computes frequencies, compares periods and groups, and exports structured reports. A description of the implemented features is available in the documentation.
The Service does not forecast or predict outcomes and does not provide investment, betting, financial or other professional advice. Statistics are computed from the data loaded into the workspace and describe that data only.
For EuroInsider, the Service consists of the workspace features described on the EuroInsider product pages and in the documentation, including the import of the Customer's own CSV or TSV files, which are processed in the browser only. For organisation contracts, the exact scope, including which datasets are connected and which support is included, is defined in the order form. Features that are described as planned are not part of the Service until they are made available and, where relevant, added to the order form.
Our primary markets are the United Kingdom, France, Israel and Brazil. The Service, its documentation and support are provided in English. For organisation contracts, Customers in other countries may be served only where agreed in the order form.
043. Accounts and access
EuroInsider. After payment, Digistore24 redirects the Customer to an access page that shows one personal access link per access purchased. There are no passwords. Opening a link signs in the device on which it is opened until the access end date. The Customer can return to the access page through the link in the Digistore24 purchase confirmation email.
Organisation contracts. Access is provisioned by our team after both parties have signed an order form.
Requesting a demo, using the public demo or sending a message through the website does not create an account or any obligation for either party.
- The Customer is responsible for ensuring that only Authorised Users access the Service and that any access details provided to it, including personal access links, are kept confidential.
- Each EuroInsider personal access link is for one person. Access links must not be shared, published or used by more people than the number of accesses purchased.
- The Customer must tell us promptly at support@insidermagazin.com if it becomes aware of any unauthorised access or use.
- We may suspend access where we reasonably believe it is necessary to protect the Service, other customers or third parties, or where these Terms or the Acceptable Use Policy have been materially breached. Where practicable, we will notify the Customer in advance and restore access once the issue is resolved.
054. Software access and licence
Subject to these Terms and payment of the applicable fees, we grant the Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Service through its Authorised Users: for EuroInsider, for the access period of the plan purchased and for the Customer's own purposes; for organisation contracts, for the subscription term stated in the order form and for the Customer's internal business purposes.
Reports, CSV exports and printed or saved PDF outputs generated by the Customer from its own data may be used freely by the Customer and shared with its advisers, provided they are not presented as forecasts, guarantees or advice.
For EuroInsider, the number of Authorised Users equals the number of personal access links issued for the purchase, and file imports are limited to 25 MB and 200,000 rows per file. For organisation contracts, any usage limits, such as the number of Authorised Users or connected datasets, are set out in the order form. No other usage limits apply unless the order form states them.
065. Customer Data
The Customer retains all rights in its Customer Data. The Customer grants us the rights needed to host, retrieve, process and display Customer Data solely to provide the Service and to support the Customer.
- The Customer is responsible for the accuracy and lawfulness of its Customer Data and for having the rights and, where personal data is involved, a valid legal basis to make it available to the Service.
- Where Customer Data is retrieved from the Customer's HTTPS API, the data adapter is configured by our team during onboarding, the data is validated against the documented format before use, and the credentials used to access that API are kept on the server.
- Files imported into EuroInsider are read and processed in the user's browser only. They are not uploaded to or stored by us. They must be imported again in each session, unless the user has the EuroInsider Saved Workspace add-on, which keeps imported datasets in the user's own browser on that device.
- Statistics shown in the workspace are computed in the user's browser from the data loaded into it.
- Where Customer Data contains personal data, we will process it only on the Customer's documented instructions and under a data processing agreement where one is required by law. A data processing agreement is provided on request before any personal data is processed.
- On termination, Customer Data held by us will be returned or deleted as described in the order form. Unless the order form says otherwise, this happens within 30 days after termination.
Information about personal data we process for our own purposes, for example through the website forms or to deliver EuroInsider access, is set out in the Privacy Policy.
076. Intellectual property
We and our licensors own all rights in the Service, the software, the website, the documentation and the illustrative datasets, including any improvements. No rights are granted other than those expressly set out in these Terms.
If the Customer provides suggestions or feedback about the Service, we may use them without restriction or obligation, provided that we do not identify the Customer publicly without its consent.
087. Acceptable use
The Customer and its Authorised Users must use the Service in accordance with the Acceptable Use Policy, which forms part of these Terms. In particular, the Service must not be used to present descriptive statistics as predictions, guarantees or advice, or to market lottery, gambling or financial "prediction" or "signal" products.
098. Fees and payment
EuroInsider
- Prices are stated in euros (EUR) on the EuroInsider product pages and in the Digistore24 checkout before the purchase is completed.
- Each purchase is a one-time payment. There is no subscription and no automatic renewal.
- EuroInsider is sold by Digistore24 as reseller. The purchase contract, including payment, invoicing and the applicable taxes, is concluded with Digistore24 under Digistore24's terms. The debiting is performed by Digistore24.
- Access periods: EuroInsider — 12-Month Access grants 12 months of access; EuroInsider Saved Workspace is an add-on that grants no access period of its own and applies for as long as the related access runs; EuroInsider Extended Access — 24 Months grants 24 months from the date of that purchase; each access link issued with EuroInsider Team Access — 3 Additional Users is valid for 12 months. The access end date is shown on the access page and in the workspace.
- Refunds are governed by the Cancellation & Refund Policy, which provides a 60-day money-back guarantee without conditions.
Organisation contracts
Organisation contracts are priced individually. The order form states the price, currency, billing period, payment method, renewal terms and cancellation terms. These are presented to the Customer in writing before any contract is signed. No fees are payable under an organisation contract unless they are set out in a signed order form.
- Payment terms and late payment consequences: invoices for organisation contracts are payable within 30 days; if payment is late, we may suspend access after giving 14 days' written notice
- Taxes: for EuroInsider, Digistore24 charges and invoices any applicable VAT or sales tax; for organisation contracts, prices exclude taxes unless the order form states otherwise
- Price changes on renewal: a new price applies only from the next renewal and is notified at least 30 days in advance
Cancellation and refunds for organisation contracts are addressed in the Cancellation & Refund Policy and in the order form.
109. Confidentiality
Each party may receive non-public information from the other that is marked as confidential or would reasonably be understood to be confidential, including Customer Data, pricing and the terms of the order form. The receiving party will use such information only to perform or exercise its rights under these Terms, will protect it with at least reasonable care, and will disclose it only to employees, contractors and advisers who need to know it and are bound by equivalent obligations.
These obligations do not apply to information that is or becomes public through no fault of the receiving party, was lawfully known to it beforehand, is independently developed, or must be disclosed by law or court order (in which case the receiving party will give notice where legally permitted). They continue for three years after the end of the contract.
1110. Disclaimers
The Service provides descriptive analytics. Figures such as means, frequencies, quantiles, trends and effect sizes describe the data that was loaded; they do not predict future values or events, and past patterns do not determine future outcomes. Cohen's d and similar measures are descriptive effect sizes, not tests of statistical significance.
The Customer remains solely responsible for decisions it makes using outputs of the Service. Nothing in the Service, the documentation or this website is investment, betting, financial, legal or other professional advice.
The illustrative datasets on this website are synthetic and are provided for demonstration only. They do not describe any real organisation or person.
To the extent permitted by law, and except as expressly stated in these Terms or the order form, the Service is provided "as is" and "as available", and we do not warrant that it will be uninterrupted or error-free or that it will meet requirements not stated in the order form.
1211. Limitation of liability
To the extent permitted by applicable law:
- neither party is liable for indirect or consequential loss, or for loss of profits, revenue, business opportunity or goodwill, arising out of or in connection with these Terms;
- each party's total aggregate liability arising out of or in connection with these Terms is limited to the fees paid by the Customer in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, wilful misconduct or, where the Customer is a consumer under applicable law, rights that cannot be waived.
1312. Term and termination
For EuroInsider, the contract ends automatically at the end of the access period of the plan purchased; it does not renew. For organisation contracts, the subscription term, renewal and notice periods are stated in the order form. Unless the order form says otherwise, the term is 12 months and renews for further 12-month periods unless either party gives 30 days' notice before the end of the term.
- Either party may terminate the contract by written notice if the other party materially breaches these Terms and does not remedy the breach within 30 days of being notified.
- Either party may terminate by written notice if the other party becomes insolvent or enters into a comparable procedure, to the extent permitted by law.
- We may deactivate EuroInsider access links that have been shared in breach of section 3, and access links for an order that has been refunded.
- On termination, access to the Service ends, any fees accrued up to the termination date remain payable unless the order form, the Cancellation & Refund Policy or mandatory law provides otherwise, and Customer Data is handled as described in section 5.
Sections that by their nature are intended to survive termination, including confidentiality, intellectual property, disclaimers, limitation of liability and applicable law, survive.
1413. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes to the Service or to the law. The date of the latest version is shown at the top of this page. Changes that materially affect an existing Customer will be notified in writing at least 30 days before they take effect and will not alter the terms of a signed order form during its current term, or the access period of a EuroInsider purchase already made, unless both parties agree.
We may also change the Service, provided that changes do not materially reduce the functionality the Customer has subscribed to during the current term.
1514. Applicable law and jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of Brazil (São Paulo, SP), unless the order form states otherwise.
Disputes will be submitted to the courts of São Paulo, Brazil; this does not affect any mandatory right of a consumer to bring proceedings in their country of residence. The parties will first try in good faith to resolve any dispute through discussion between their representatives.
Where the Customer qualifies as a consumer under applicable law, nothing in this section deprives it of the protection of mandatory provisions of the law of its place of residence or of its right to bring proceedings before the courts that such law designates.
1615. General
- Neither party may assign the contract without the other's written consent, which will not be unreasonably withheld, except in connection with a merger or sale of substantially all of its relevant business.
- Neither party is liable for failure or delay caused by events beyond its reasonable control.
- If any provision is held invalid, the remaining provisions remain in effect.
- A failure to enforce a provision is not a waiver of it.
- Notices must be given in writing, including by email, to the addresses stated in the order form or, for EuroInsider, to the email address used for the purchase and to support@insidermagazin.com.
